Terms of Service

1. Acceptance of Terms

By accessing or using the CertusFile platform ("Service"), you agree to be bound by these Terms and our Privacy Policy. These Terms constitute a binding legal agreement between you and CertusPrime Technologies ("Company," "we," or "us"). This agreement is subject to the provisions of UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.

2. Nature of Services (SaaS)

CertusFile is a software platform designed to assist UAE businesses with administrative compliance. This includes automation for WPS Salary Information Files (SIF), VAT return estimates, and corporate tax tracking.

3. User Obligations

You agree to use the Service only for lawful purposes in accordance with UAE Federal Laws. You strictly agree NOT to:

• Upload false or fraudulent documents (Trade Licenses, Emirates IDs).
• Attempt to reverse-engineer the software or access our source code.
• Use the service to evade taxes or violate UAE Anti-Money Laundering (AML) regulations.

4. Subscription & Billing

• Fees: The Service is offered on a subscription basis (e.g., AED 29/month). Fees are billed in advance and are non-refundable, except where required by law.
• Cancellation: You may cancel your subscription at any time via the dashboard. Access remains active until the end of the paid billing cycle.
• Merchant of Record: Our order process is conducted by our authorized online resellers, The specific Merchant of Record for your transaction will be identified on your checkout screen and invoice. They handle all customer service inquiries and returns related to payments.
• Taxes: Prices are exclusive of taxes unless stated otherwise. VAT and other applicable taxes are calculated, collected, and remitted by the respective Merchant of Record based on your location.

5. Limitation of Liability

To the maximum extent permitted by UAE law, CertusPrime Technologies shall not be liable for any direct, indirect, incidental, special, exemplary, punitive, or consequential damages. Specifically, we are not liable for:

• Government Penalties: Any administrative fines or financial penalties issued by any government body.
• Business Loss: Loss of profits, revenue, data, or business reputation.
• Service Failures: Downtime due to maintenance, bugs, cyber-attacks, or third-party server outages (e.g., AWS/Azure/Oracle failure).

In any event, our total aggregate liability for any claim shall not exceed the amount paid by you to us in the preceding one (1) month subscription period.

6. Governing Law & Jurisdiction

These terms are governed by the Federal Laws of the United Arab Emirates and the laws of the Emirate of Dubai. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the Courts of Dubai.
